Uncovering Her Summit - Vendor Terms of Service
1. Introduction
These Terms of Service ("Terms") govern the relationship between Allison Evans, LLCC ("Organizer") and you, the vendor ("Vendor"), participating in the "Uncovering Her" Summit ("Summit"). By registering as a vendor and participating in the Summit, you agree to be bound by these Terms.
2. Vendor Responsibilities
2.1. Booth & Products:
Vendor is responsible for securing a designated booth space at the Summit by the specified deadline.
Vendor agrees to display and sell only products and services approved by the Organizer.
Vendor is responsible for setting up and breaking down their booth within designated times.
Vendor must maintain a clean and professional booth appearance throughout the Summit.
Vendor agrees to abide by all fire and safety regulations at the venue.
2.2. Marketing & Promotion:
Vendor may promote their participation in the Summit through their own marketing channels.
Vendor agrees to use the official Summit logo and branding materials only with the Organizer's written consent.
Vendor agrees to not engage in any misleading or deceptive advertising practices.
2.3. Pricing & Transactions:
Vendor is solely responsible for setting prices and completing all transactions with customers at their booth.
Vendor agrees to comply with all applicable laws and regulations regarding sales tax collection.
2.4. Payment & Insurance:
Full payment for the booth space is due by the specified deadline.
Vendor is responsible for obtaining any necessary licenses, permits, or insurance required for their participation in the Summit.
2.5. Customer Service:
Vendor agrees to provide professional and courteous customer service to all Summit attendees.
3. Organizer Responsibilities
3.1. Venue & Promotion:
Organizer will secure the venue and promote the Summit to a targeted audience.
Organizer will provide vendors with a designated booth space and basic electrical outlet.
Organizer will provide basic marketing materials promoting all vendors collectively.
3.2. Event Management:
Organizer will manage the overall logistics of the Summit, including set-up, tear-down, and security.
Organizer will provide a platform for vendors to list their offerings in the Summit program (if applicable).
3.3. Customer Traffic:
Organizer will strive to attract a large and engaged audience of attendees to the Summit.
Organizer will not be responsible for the specific sales or leads generated by Vendor at the Summit.
4. Cancellation & Refunds
4.1. By Vendor:
Vendor may cancel their participation in the Summit up to [Number] days prior to the event for a full refund of the booth fee.
Cancellations within [Number] days of the event will forfeit the booth fee.
4.2. By Organizer:
In the event of unforeseen circumstances that force the cancellation of the Summit, the Organizer will provide vendors with a full refund of the booth fee.
The Organizer is not liable for any additional costs or expenses incurred by Vendor due to the cancellation.
5. Intellectual Property
5.1. Vendor acknowledges that the Organizer owns all intellectual property rights associated with the "Uncovering Her" Summit brand. 5.2. Vendor agrees not to use any trademarks, logos, or other intellectual property of the Organizer without written consent.
6. Disclaimer & Limitation of Liability
6.1. The Organizer does not guarantee the number of attendees or the success of Vendor's sales at the Summit.
6.2. The Organizer is not responsible for any loss, damage, or injury to Vendor's property or personnel arising from their participation in the Summit.
6.3. Vendor agrees to indemnify and hold harmless the Organizer from any claims, losses, or liabilities arising from their participation in the Summit.
7. Governing Law
These Terms shall be governed and construed in accordance with the laws of the State of [Your State], without regard to its conflict of law provisions.
8. Dispute Resolution
